Conditions de participation
Habilitation à exercer l'activité professionnelle:

Candidate shall provide in his application:

— an extract from the registration in the Trade and Companies Register (Kbis form or registration form) dated less than 3 months before the deadline for reply; or a certificate of deposit of the declaration filled at a business registration centre for legal or natural persons in the course of being registered,

— a document stating his identity & address or, where applicable, details of his tax representative in France.

The following candidates cannot bid:

1) Those candidates who have, within the last 5 years, been handed down a final sentence for one of the offences provided for in Articles 222-34 à 222-40, 225-4-1, 225-4-7, 313-1, 313-3, 314-1, 324-1, 324-5, 324-6, 421-1 to 421-2-4, 421-5, 432-10, 432-11, 432-12 to 432-16, 433-1, 433-2, 434-9, 434-9-1, 435-3, 435-4, 435-9, 4 / 7 435-10, 441-1 to 441-7, 441-9, 445-1 to 445-2-1 or 450-1 of the French Penal Code, Article 1741 to 1743, 1746 or 1747 of the French General Tax Code;

2) Those candidates who have, within the last 3 years, been handed down a final sentence listed on Report No 2 of the Criminal Records Bureau for one of the offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L.8231-1, L.8241-1, L. 8251-1 and L 8251-2 of the French Labour Code, or for one of the offences provided for in Article L. 1146-1 of the same Code and in Article 225-1 of the French Penal Code. Those candidates who, on 31 December of the year prior to that during which the tender is launched, have not fulfilled their obligations relating to the negotiation obligation provided for in Article L. 2242-1, 2

3) Those candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L.653-1 to L. 653-8 of the same Code or those candidates subject to court-supervised administration proceedings provided for in Article L. 631-1 of the French Commercial Code, as well as those candidates subject to equivalent proceedings under a foreign law jurisdiction. However, the following shall be regarded as eligible candidates: those candidates admitted to court-supervised administration proceedings provided for in Article L.631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction who provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract;

4) Those candidates who had not fulfilled their obligations in terms of tax and social security declarations or had not paid the payable tax and contributions. However, the following shall be regarded as eligible candidates: those candidates who, prior to the date on which the procuring entity determines the candidates’ admissibility, had not paid the various amounts due or provided any guarantees, but who had, without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection;

5) Those candidates who have been subjected to a measure of exclusion from administrative contracts by virtue of an administrative decision taken in application of Article L. 8272-4 of the French Labour Code.

In order to provide evidence that it is not in one of the situations cited in points 1) to 5) above, the candidate must furnish a sworn statement, dated and signed. For the situations cited in point 4) above, the candidate must also provide the certificates issued by the competent authorities and bodies.

These conditions apply to the candidate and to each of the members of a group wishing to tender as a single candidate.

Situation économique et financière:

The following documents must be provided by the candidate as part of his reply to the contract notice: All economic and financial documents must be certified by the competent legal entities of the candidate's country or by a third party audit:

— description of corporate ownership and corporate structure. If the company is a subsidiary, the name of the parent company and ultimate parent company must be stated as well as the name of a French representative, if any,

— if the candidate plans to subcontract the future service, the candidate shall provide a list of the services he plans to subcontract for information,

— corporate headquarters locations and list of worldwide locations (subsidiaries, affiliates, joint ventures, distributors) specifying the type of functionality (production, service, sales). The candidate shall be set up in a legal form that allows for a clear assessment of its means, organisation and the sharing of responsibilities,

— last 3 financial annual reports specifying turnover, EBIT, and number of employees in total,

— declaration that the company neither filled or is involved in insolvency proceedings and that insolvency proceedings have not been refused for lack of assets,

— rating of an independent rating agency, whose rating is based on relevant European standards or equivalent criteria if available,

— proof of valid professional liability insurance stating the amount insured and any relevant insurance for the performance of the services.

Niveau(x) minimal/minimaux de normes:

The contracting entity will assess the financial standing of bidders using its standard financial assessment model. This model evaluates the financial position of a company based on the detailed and audited financial statements (balance sheet, income statement and cashflow statement) of the 3 last years.

Capacité technique et professionnelle:

Documents have to be provided by each candidate individually, or if applicable, by each member of the consortium or the declared subcontractors. In case one or several activities listed below were subcontracted, subcontractor name and capabilities shall be described in the Candidate's response.

Certifications:

— the candidate shall demonstrate having implemented and maintained…

… a quality management system according to the standard EN ISO9001, or other equivalent system of quality management,

… an environmental management system according to the standard ISO14001, or other equivalent system of environmental management,

… a health and security management systems according to a) OHSAS 18001 or other equivalent system of health and security management.

H&S KPIs (accidents and incidents):

The candidate shall provide a letter from its Chief Executive Officer or any other duly empowered person certifying that all incidents and accidents reported by all its subcontractors throughout the execution of its contracts are properly registered, followed up, and included in all incidents and accidents statistics provided by the candidate.

Sustainable development and applicable law

The candidate must certify, by providing a letter from its Chief Executive Officer or any other duly empowered person, that it will execute all its obligations under potential contracts with EDF Renouvelables France in accordance with (i) the principles of the European Directive No 2014/25/UE and its possible transpositions and more generally with (ii) all applicable laws.

Niveau(x) minimal/minimaux de normes:

The candidate certifies to have in-house human resources capable to communicate, write and work in English and in French language.

Please provide three references of offshore geotechnical surveys in 20-80m water depth, including boreholes down to at least 30m below seabed with sampling and CPT testing completed within the last 5 years. The list shall include:

• survey dates,

• services provided,

• survey equipment detail,

• main subcontractors used (if any).

The tenderer must be able to mobilize a geotechnical drilling vessel. Such vessel or jack-up shall be staffed and fitted out for 24h continuous geotechnical operation with 2 weeks autonomy without port call or supply.

Please provide list of corresponding own vessel or jack-up or, if vessel is not directly own, evidence of chartering or commercial relationship with designated vessel owner.

Dépôts et garanties exigés:

Candidates shall be in a position to provide securities such as an Advance Payment Bond (if applicable), an ondemand Performance bond and a Parent Company Guarantee. Any deviation to these requirements shall be clearly stated in the applicants' answer.

All the conditions will be detailed in the tender documents and will be made available after the pre-qualification phase for those pre-selected candidates only.

Payments will be made according to French law.

Candidates may be either single companies or consortium:

— in case the Candidate is a joint venture, the copy of the project of joint venture agreement is required,

— in case the Candidate is a consortium, a copy of the memorandum of understanding or the project of contract of consortium has to be included. The consortium shall be jointly and severally liable (‘conjoint et solidaire’) or with a jointly liable leader (‘mandataire solidaire’),

— in case the Candidate is a single company, description of qualification and experience of subcontractors (or potential sub-contractors) to whom major parts of the works (such as design or installation) are going to be subcontracted, has to be included.

A tenderer, which will submit an offer as member of a consortium or a joint venture, may not submit an offer as single company or with another consortium or joint venture.
