Technical and commercial contacts of persons responsible for the submission of the application must be clearly indicated in the qualification file. This notice is a call for applications. This is intended for interested companies to provide all requested documents listed in articles III.2.1, III. 2.2 and III. 2.3. Application files must be submitted exclusively at the address stated in point I.1 by email, by registered post with proof of receipt or by hand-delivered letter against a receipt. Please find below a clarification of the main stages of consultation: — Step 1: publication of the contract notice and expressions of interest of candidates; — Step 2: after examination of the applications, a detailed Request for Proposal will be sent to selected applicants.

Information and formalities necessary for evaluating if the requirements are met: The candidate Must provide:

1. Legal form and Registration in the Commercial Register;

2. Corporate ownership. If the company is a subsidiary, the name and address of the ultimate parent company must be stated as well as the name and address of a French representative, if any;

3. List of worldwide locations (subsidiaries, affiliates, etc.);

4. Statement of the Company that the work will be achieved by regular workers according to the applicable Laws.

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) below, the candidate Must provide a sworn statement, dated, stamped and signed attesting that it is not in one of the situations cited in these points.

These conditions are applicable to the candidates and to EACH of the members of a group wishing to tender as a single candidate.

The following cannot tender:

1) Those candidates who have, within the last 5 years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6, 413-9to 413-12, 421-1 to 421-2-3, sub-paragraph 2 of Article 421-5, Article 433-1, sub-paragraph 2 of Article 433-2, sub-paragraph 8 of Article 434-9, sub-paragraph 2 of Article 434-9-1, Articles 435-3, 435-4, 435-9,435-10, 441-1 to 441-7, 441-9, 445-1 and 450-1 of the French Penal Code, Article 1741 of the French General Tax Code and Articles L. 2339-2 to L. 2339-4, L. 2339-9, L. 2339-11-1 to L. 2339-11-3 of the French Defense Code.

2) Those candidates who have, within the last 5 years, been handed down a sentence listed on Report no.2 of the Criminal Records Bureau for the offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L.8231-1,L.8241-1, L. 8251-1 and L 8251-2 of the French Labour Code.

3) Those candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L. 653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction. Candidates admitted to the compulsory reorganization proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorized to continue their activities throughout the foreseeable term of execution of the contract.

4) Those candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible candidates: those candidates who, on 31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this sub-paragraph may not personally tender for a contract.’

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) above, the Candidate must furnish as worn statement, dated and signed.

— Last 3 financial year's turnover, EBIT, and number of employees in total, as well as for the respective divisions.

— Annual report of the last financial year.

— Declaration that the company neither filled or is involved in insolvency proceedings and that insolvency proceedings have not been refused for lack of assets.

— Original and valid professional liability insurance certificate issued by the insurer with indemnity limits mentioned therein.

— Original and valid certificate underlying financial guarantee cap, when mandatory (or equivalent).

Capacité technique et professionnelle:

For each section hereafter, candidate must supply documentary evidences associated to all requirements listed below in order for the company to identify its technical capacities:

— References from previous placements of property damage insurance on an ‘all risks’ basis (CAR / OAR) and loss of profits insurance (ALOP / BI / CBI) on behalf of the Owner for non-recourse financing structure offshore wind projects within the last 5 years;

— Organizational chart and resume of each team member (underlying English language skills) dedicated to negotiations with the Lenders Insurance Advisor, placement of insurance and claims management;

— Lloyd's of London accreditation;

— Complete list of useful technical documents to be provided to insurers/reinsurers.

Conditions relating to the payment will be stated in the Request for Proposal.

Contract payment terms: Payments up to 60 days from the correct invoice issuance date.

Payments will be according to the French Law.

Candidates may be either single companies or consortium:

— In case the Candidate is a joint venture, the copy of the project of joint venture agreement is required,

— In case the Candidate is a consortium, a copy of the Memorandum Of Understanding or the project of contract of consortium has to be included. The consortium shall be jointly and severally liable (‘conjoint et solidaire’) or with a jointly liable leader (‘mandataire solidaire’),

— In case the Candidate is a single company, description of qualification and experience of subcontractors (or potential subcontractors) to whom major parts of the works (such as design or installation) are going to be subcontracted, has to be included.

A Tenderer, which will submit an offer as member of a consortium or a joint venture, may not submit an offer as single company or with another consortium or joint venture.
