Managing Entity for a Financing Program aiming at the promotion of private initiatives in green mini-grids improving access to electricity in Kenya

AFD and DFID are jointly working on a Programme in Kenya aiming at promoting private initiatives in green mini-grids improving access to electricity. This Green mini-grid Programme will make almost 30 000 000 GBP (about 40 000 000 EUR) available for capital support to projects and/or technical assistance and market development activities.
The implementation of this Programme will need the Operator to act as a Managing Entity that will be the main responsible party in the management of the GMG Programme, in collaboration with AFD. Its tasks will be in particular:
— Contribute to the identification and selection of the best viable GMG projects seeking some form of capital support and technical assistance;
— Assist Project Sponsors;
— Allocate and disburse grants from this programme to eligible projects;
— Ensure the Monitoring and Evaluation of the program;
— Ensure articulation with other GMG initiatives from local public authorities, other donors, other international financial institutions;
— Ensure a feedback and coordination with public authorities on the operational results and lessons learnt from this experience.
For this purpose, the Operator is expected to set up a team including the following expertise:
i) a full time Team Leader with extensive experience of energy project management,
ii) a full time Administrative Officer,
iii) key experts (Legal, Financial, Environmental and Social, Communication).

Candidates must present the following documents:
Document 1: A letter, dated and signed by a person having authority to represent the company; presenting the candidature, indicating whether it is presented by a company or by a consortium of jointly and severally liable companies (size and composition of the applicant group shall be submitted; and each member must present the following documents).

Document 2: A valid certificate of professional liability insurance
Document 3: Candidates must present the additional document:
— Extract ‘K bis’ of the entry in the Companies Register, or an equivalent document;
— In the event of judicial reorganization procedure, a copy of any judgment to this effect.
— The receipt of declaration to a center for business formalities for persons natural or legal having started their business less than a year.
Document 4: A solemn declaration that the candidate is not in any of the circumstances referred to in article 45 of the Executive Order 2015- 899 of 23.7.2015.
Document 5: In case of the candidates wish to declare sub-contractors, for each of them the candidate (or representative of the consortium) must present:
— all the documents and information referred to in form ‘DC4’, available at the following Internet address: http://www.economie.gouv.fr/daj/formulairesdeclaration-candidat-dc4
— a dated and signed certificate indicating he will access all declared sub-contractors to execute the contract in project. It is specified that a candidate could request that capacity of sub-contractors could be taken into account to appreciate his application (or those of the consortium). Situation économique et financière:
Document 6: Candidates are requested to submit information on the turnover of the group to which the candidate belongs (if possible); the overall turnover of the candidate and the turnover concerning the services and supplies to which to procurement refer, in all cases respect to the 3 most recent financial years. Candidates may use the forms ‘DC1’ and/or ‘DC2’.

Capacité technique et professionnelle:
Document 7: Candidates are requested to present a file with:
— information on average annual number of employees and management personnel numbers of the candidate (and/or each member of the candidate);
— the qualifications of persons involved in the procurement showing that they are appropriate for the subject-matter of the procurement.
Candidate will, as the case may be, explain how use will be made of sub-contractor information on the technical capacity of the candidate in relation to the subject-matter of the procurement.
— In case of a consortium, a note detailing the distribution of missions between each member and details contact of each technical and commercial interlocutor;
— Information on the technical capacity of the candidate in relation to the subject-matter of the procurement. Such information will be accompanied by references for the candidate over
the 3 previous years in the field of rural electrification and/or mini-grids and/or renewable energy in African countries (identifying the client in each reference presented so that such client may be contacted).
The file should explain how the candidate could manage a local entity in Kenya, in a multicultural and international environment, using English as the working language on the daily basis.

Bank Guarantee requested for the advance payment (for information purpose, about 5 % of the estimated total value of the contract).
Principales conditions de financement et modalités de paiement et/ou référence aux dispositions pertinentes qui les régissent:
Pricing characterizing: mixed prices (lump sum + unitary pricing).
Funds delegated by DFID. Invoices shall be settled by bank transfer, within 45 days, counting from the end of the month following the date of
receipt of the invoices and approved deliverable documents.
VAT Exemption: the services will be VAT exempted.

Candidates may submit as a single candidate, as a joint group or as a joint and several group. A candidate may only present a single candidature/offer either as an individual candidate or as a member of a group. In addition a candidate may not present a candidature and/or an offer as a member of several groups. In the case of the existence of a joint group, the representative shall be jointly and severally liable with each member of the group for their contractual obligations to the AFD in respect of performance of the procurement.
