Wind Offshore — Seabed Clearance and ROV identification surveys for foundations

Eolien Maritime France (Subsidiary of EDF EN France and DONG Energy Power Holding)

The purpose of this scope is to achieve a Seabed Clearance on WTG (Wind Turbine Generator) locations and some potential additional locations which will consist of side scan sonar, multi beam echo sounder survey in the wind farm zone. Few hectares will be surveyed with a frame in magnetometer survey.
At the end of the survey, ROV identification survey need to be conducted on few targets.
Sites are located offshore along French coasts:
Lot 1 : Fecamp (Haute Normandie — Seine Maritime) — contracting entity shall be Eoliennes Offshore des Hautes Falaises.
Lot 2: Courseulles sur Mer (Basse Normandie — Calvados) — contracting entity shall be Eoliennes Offshore du Calvados.
Lot 3: Saint Nazaire (Pays de la Loire — Loire Atlantique) — contracting entity shall be Parc du Banc de Guérande.

The candidate MUST provide:

1. Legal form and Registration in the Commercial Register;

2.Corporate ownership. If the company is a subsidiary, the name and address of the ultimate parent company must be stated as well as the name and address of a French representative, if any.

3.List of worldwide locations (subsidiaries, affiliates, etc.)

4. Statement of the Company that the work will be achieved by regular workers according to the applicable Laws.

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) below, the candidate MUST provide a sworn statement, dated, stamped and signed attesting that it is not in one of the situations cited in these points.

These conditions are applicable to the candidates and to EACH of the members of a group wishing to tender as a single candidate.

‘The following cannot tender:

1) Those candidates who have, within the last 5 years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6, 413-9 to 413-12, 421-1 to 421-2-3, sub-paragraph two of Article 421-5, Article 433-1, sub-paragraph two of Article

However, the following shall be regarded as eligible candidates: those candidates who, on 31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this sub-paragraph may not personally tender for a contract.’

Situation économique et financière:

Capability of Candidates is evaluated for each lot independently.

The Candidate MUST provide:

1. Annual accounts (incl. the accountant's opinion) for the previous 3 years (if available) and the quarterly reports/interim accounts for the current financial year (if applicable). If 50 % or more of the company is owned by another company or if that other company controls 50 % or more of the votes or can appoint more than half of the members of the board of management or of the supervisory board of the company the same information is requested from that controlling company.

If the company relies on the economic and financial capacity of another entity/entities, the company shall prove to the satisfaction of the Contracting Authority that the necessary resources will be available to it by way of an undertaking from these entities.

2. Number of employees of the Company in total.

3. Number of employees of the Parent Company if applicable.

4.Declaration that the Company neither filled or is involved in insolvency proceedings and that insolvency proceedings have not been refused for lack of assets.

5. Valid Public Liability Insurance Certificate stating the amount insured.

If a consortium/joint venture submits a request for tendering, the information requested above must be submitted for each member of the consortium/joint venture.

5. If the company, parent company, bank or insurance company providing performance guarantees is rated by S&P, Moody's or equivalent, please furnish the associated statement and the rating.

Capacité technique et professionnelle:

For each section hereafter, candidate must supply documentary evidences associated to all requirements listed below in order for the company to identify its technical capacities:

1. General

1.1. Statement of the Company's ability to plan and manage the works. Candidates are requested to explain how their organization works.

1.2. References of similar works which the Company has on order or has completed within the last 5 years. The list shall include dates, recipients and scope of supplies/services, financial amount. In case of subcontracting, the Company must provide the supplies/services and the total amount/percentage.

1.3. Statement of the tools, plant or technical equipment available to the Company for carrying out the Contract.

2. Minimum levels of standards required

2.1. Minimum levels of standards required for all lots

2.1.1. Relating to the offshore geophysical investigation, the Candidate must provide a statement of the marine supports/ tools/ technical equipments available or subcontracted with detailed characteristics able to satisfy hereafter requirements. In case the Candidate is linked with subcontracted marine supports, the owner name of the marine support is to be provided for each marine support identified.

Minimum requirements:

2.1.2. Ability to mobilize (in house or subcontracted) of a marine geophysical investigation vessel able to perform geophysical and ROV survey in shallow waters typically 17 to 35 meters depth with strong current up to 2 to 2.5 meters per second.

2.1.2 Ability to mobilize ROV Tender DP, endurance of 14 days in 24.24h, transit speed higher than 14 knots, submetric ROV positioning.

2.1.3 Ability to mobilize an inspection ROV (able to work with 1m/s current speed) with small jetting capacity.

2.1.4 Ability to realize a Multi beam and SSS bathymetric survey.

2.2. in addition to all lots — minimum levels of standards required for lot 1: FECAMP & lot 2: Courseulles Sur Mer

2.2.1 Ability to realize a Magnetometric frame survey.

2.5. Minimum levels of HSEQ standards required for all lots

2.5.1. Statement of the Company's quality management system according to ISO 9001 or similar including definition of production place, process flow map and management target, policy and vision covering the scope. The Company shall also submit statements of his major sub-contractors' quality management systems according to ISO 9001 or similar.

2.5.2. Statement of the Company's environmental management system according to ISO 14001or similar including definition of production place, process flow map and management target, policy and vision covering the scope. The Company shall also submit statements of his major sub-contractors' environmental management system.

2.5.3. Statement of the Company's health and safety management system according to OHSAS 18001 or similar including organization and principles for implementation of health and safety management system. The Company shall also submit statements of his major sub-contractors' health and safety management system according to OHSAS 18001 or similar including organization and principles for implementation of health and safety management.

2.5.4. Provide HSE policy and Objectives, HSE statistics for the last 5 years, HSE certificate.

2.5.5. Provide Quality certificates typical Quality Plan and Inspection Test Plan.

Exécution du marché
Dépôts et garanties exigés:

Conditions relating to the contract(s) will be stated in the tender documents. However, the Contracting Authority may demand:

a Performance Security for proper performance of all obligations under the Contract comprising:

1) An on-demand Performance Bond:

The Performance Bond shall be provided by a bank approved by the Contracting Authority,

2) a Parent Company Guarantee.

However, if the company is not a subsidiary or if the company's ultimate parent company cannot comply with the requirements stated in '2)' above, the company shall procure a Performance Guarantee provided by a bank.

Such Performance Guarantee shall be provided by an entity approved by the Contracting Authority.

The company and the Performance Security provider(s) will be requested to deliver updated (annually, interim// quarterly/monthly (whatever is available)) accounts during completion of the works including during the time of re-mediation of defects, if any.

Candidate may be either single companies or consortium/joint venture.

In case the Candidate is a consortium/joint venture, a copy of the Memorandum Of Understanding or a copy of the project of contract of consortium/ joint venture has to be provided.

The form of the consortium/joint venture shall be jointly and severally liable (conjointe et solidaire) or joint with a several leader (conjointe avec un mandataire solidaire).
