Wind Offshore – Geotechnical 2 investigations for foundations and associated services

Eolien Maritime France (Subsidiary of EDF EN and DONG Energy)

On an indicative and provisional basis, the purpose of Lots 1 to 6 is to achieve off-shore geotechnical investigations for foundations' detailed design composed of geotechnical boreholes with coring, sampling, and in-situ testing.
Sites are located offshore along French coasts :
Lots 1 and 2 : Fecamp (Haute Normandie - Seine Maritime) - contracting entity shall be Eoliennes Offshore des Hautes Falaises;
Lots 3 and 4: Courseulles sur Mer (Basse Normandie - Calvados) - contracting entity shall be Eoliennes Offshore du Calvados;
Lots 5 and 6: Saint Nazaire (Pays de la Loire - Loire Atlantique) - contracting entity shall be Parc du Banc de Guérande.

Habilitation à exercer l'activité professionnelle:

The candidate MUST provide :

1. Legal form and Registration in the Commercial Register;

2. Corporate ownership. If the company is a subsidiary, the name and address of the ultimate parent company must be stated as well as the name

and address of a French representative, if any.

3. List of worldwide locations (subsidiaries, affiliates, etc)

4. Statement of the Company that the work will be achieved by regular workers according to the applicable Laws.

5. Participants have to fulfill the minimum conditions required for tendering for Contracts subject to European Parliament and Council Directive 2004/17/EC (Article 8 of the transposition order of 06 June 2005 and Article 18 of the French Implementing Decree of 20 October 2005 specified below.

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) below, the candidate MUST provide a sworn statement, dated, stamped and signed attesting that it is not in one of the situations cited in these points.

These conditions are applicable to the candidates and to EACH of the members of a group wishing to tender as a single candidate.

"The following cannot tender:

1) Those candidates who have, within the last five years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6, 413-9 to 413-12, 421-1 to 421-2-3, subparagraph two of Article 421-5, Article 433-1, subparagraph two of Article

2) Those candidates who have, within the last five years, been handed down a sentence listed on Report no.2 of the Criminal Records Bureau for the offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L.8231-1, L.8241-1, L. 8251-1 and L 8251-2 of the French Labour Code.

3) Those candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L. 653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a

foreign law jurisdiction. Candidates admitted to the compulsory reorganisation proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract.

4) Those candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible candidates: those candidates who, on 31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract."

Situation économique et financière:

Capability of Candidates is evaluated for each lot independently.

The Candidate MUST provide:

1. Annual accounts (incl. the accountant's opinion) for the previous 3 years (if available) and the quarterly reports/interim accounts for the current financial year (if applicable). If 50 % or more of the company is owned by another company or if that other company controls 50 % or more of the votes or can appoint more than half of the members of the board of management or of the supervisory board of the company the same information is requested from that controlling company.

If the company relies on the economic and financial capacity of another entity/entities, the company shall prove to the satisfaction of the Contracting Authority that the necessary resources will be available to it by way of an undertaking from these entities.

2. Number of employees of the Company in total.

3. Number of employees of the Parent Company if applicable.

4. Declaration that the Company neither filled or is involved in insolvency proceedings and that insolvency proceedings have not been refused for lack of assets.

5. Valid Public Liability Insurance Certificate stating the amount insured.

If a consortium/joint venture submits a request for tendering, the information requested above must be submitted for each member of the consortium/jointventure.

5. If the company, parent company, bank or insurance company providing performance guarantees is rated by S&P, Moody's or equivalent, please furnish the associated statement and the rating.

Capacité technique et professionnelle:

For each section hereafter, candidate must supply documentary evidences associated to all requirements listed below in order the company can assess its technical capacity to carry out the contract.

1. General

1.1. Statement of the Company's ability to plan and manage the works. Candidates are requested to explain how their organization works.

1.2. References of similar works which the Company has on order or has completed within the last 5 years. The list shall include dates, recipients and scope of supplies/services, financial amount. In case of subcontracting, the Company must provide the supplies/services and the total amount/percentage.

1.3. Statement of the tools, plant or technical equipment available to the Company for carrying out the Contract.

2. Minimum levels of standards required.

2.1. Minimum levels of standards required for all lots.

2.1.1. Relating to the offshore geotechnical investigation, the Candidate must provide a statement of the marine supports/ tools/ technical equipments available, in house or subcontracted with detailed characteristics able to satisfy hereafter requirements. In case the Candidate is linked with subcontracted marine supports, the owner name of the marine support is to be provided for each marine support identified.

2.1.2. Mobilize (in house or subcontracted) of a marine geotechnical investigation support (self elevation platform "jack-up" or vessel) with surface drilling and sampling spread and living quarters with at least two weeks of autonomy.

2.2. Minimum levels of standards required for Lot 1.

2.2.1. Perform a geotechnical investigation (down to 30-40 meters target depth) composed of large diameter triple barrel (SQ3 100mm core diameter) coring and sampling, using high-quality sampling tool such as Geobor, Sonic or equivalent.

2.2.2. Perform downhole geotechnical in-situ testing composed of PCPT (thrust > 5t) and high pressure dilatometers tests.

2.2.3. Perform downhole Geotechnical P-S logging.

2.2.4. Perform onboard the marine support geotechnical sample descriptions and laboratory testing.

2.2.5. Perform in-office static and cyclic mechanical laboratory tests on soil and rock, interpretation and geotechnical reporting.

2.3. Minimum levels of standards required for Lot 2.

2.3.1. Perform geotechnical investigation composed of PQ3 (85mm core diameter) coring and sampling or higher diameter high quality sampling tool.

2.3.2. Perform downhole geotechnical in-situ testing composed of PCPT (thrust > 5t)

2.3.3. Perform seabed geotechnical in-situ testing composed of PCPT (thrust > 15t).

2.3.4. Perform onboard of marine support geotechnical sample descriptions.

2.3.5. Perform in-office: identification tests on soil and rock, interpretation and geotechnical reporting.

2.4. Minimum levels of standards required for Lot 3.

2.4.1. Perform a geotechnical investigation (down to approximately 30 meters target depth approximately) composed of large diameter triple barrel (SQ3 100mm core diameter) coring and sampling, using high-quality sampling tool such as Geobor, Sonic or equivalent.

2.4.2. Perform downhole geotechnical in-situ testing composed of PCPT (thrust > 5t) and high pressure dilatometers tests.

2.7.2. Perform onboard of marine support geotechnical sample description.

2.7.3. Perform in-office: identification and mechanical tests on soil and rock, interpretation and geotechnical reporting.

2.8. Minimum levels of hseq standards required for all lots.

2.8.1. Statement of the Company's quality management system according to ISO 9001 or similar including definition of production place, process flow map and management target, policy and vision covering the scope. The Company shall also submit statements of his major sub-contractors' quality management systems according to ISO 9001 or similar.

2.8.2. Statement of the Company's environmental management system according to ISO 14001or similar including definition of production place, process flow map and management target, policy and vision covering the scope. The Company shall also submit statements of his major sub-contractors' environmental management system.

2.8.3. Statement of the Company's health and safety management system according to OHSAS 18001 or similar including organization and principles for implementation of health and safety management system. The Company shall also submit statements of his major sub-contractors' health and safety management system according to OHSAS 18001 or similar including organization and principles for implementation of health and safety management.

2.8.4. Provide HSE policy & Objectives, HSE statistics for the last 5 years, HSE certificate

2.8.5. Provide Quality certificates typical Quality Plan and Inspection Test Plan.

Exécution du marché
Dépôts et garanties exigés:

Conditions relating to the contract(s) will be stated in the tender documents. However, the Contracting Authority may demand :

a Performance Security for proper performance of all obligations under the Contract comprising:

1) An on-demand Performance Bond:

The Performance Bond shall be provided by a bank approved by the Contracting Authority,

2) a Parent Company Guarantee.

However, if the company is not a subsidiary or if the company's ultimate parent company cannot comply with the requirements stated in '2)' above, the company shall procure a Performance Guarantee provided by a bank.

Such Performance Guarantee shall be provided by an entity approved by the Contracting Authority.

The company and the Performance Security provider(s) will be requested to deliver updated (annually, interim// quarterly/monthly (whatever is available)) accounts during completion of the works including during the time of remediation of defects, if any.

Candidate may be either single companies or consortium/joint venture.

In case the Candidate is a consortium/joint venture, a copy of the Memorandum Of Understanding or a copy of the project of contract of consortium/ joint venture has to be provided.

The form of the consortium/joint venture shall be jointly and severally liable (conjointe et solidaire) or joint with a several leader (conjointe avec un mandataire solidaire).
