— Legal form and registration in a commercial register (Mandatory);

— Corporate ownership and Parent Company (if any);

— Corporate headquarters;

— List of worldwide locations (subsidiaries, affiliates, joint ventures, distributors) specifying the type of functionality (production, service, sales);

— An administration statement of the Candidate that the work will be achieved by regular workers, according to the laws in effect;

— Attestation of lack of conviction for the last 5 years for professional misconduct of either the company or its managers.

In particular, may not tender:

1) Those Candidates who have, within the last 5 years, been handed down a final sentence for 1 of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6,413-9 to 413-12, 421-1 to 421-2-3, subparagraph 2 of Article 421-5, Article 433-1, subparagraph 2 of Article 433-2, subparagraph 8 of Article 434-9, subparagraph 2 of Article 434-9-1, Articles 435-3, 435-4, 435-9,435-10, 441-1 to 441-7, 441-9, 445-1 and 450-1 of the French Penal Code, Article 1741 of the French General Tax Code and Articles L. 2339-2 to L. 2339-4, L. 2339-11-1 to L. 2339-11-3 of the French Defense Code and L.317-8 of the French Interior Security Code.

2) Those Candidates who have, within the last 5 years, been handed down a sentence listed on Report No 2 of the Criminal Records Bureau for the offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L.8231-1, L. 8241-1, L. 8251-1 and L 8251-2 of the French Labour Code.

3) Those Candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L.653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction. Candidates admitted to the compulsory reorganisation proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract.

4) Those Candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible Candidates: those Candidates who, on 31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract. In order to provide evidence that it is not in 1 of the situations cited in points 1) to 4) above, the Candidate must furnish a sworn statement, dated and signed. (Mandatory)

These conditions are applicable to the Candidates and to each of the members of a group wishing to tender as a single Candidate.

Situation économique et financière:

Information and formalities necessary for evaluating if the requirements are met:

— Ownership and corporate structure;

— If the Candidate is a subsidiary, the name of the parent company and ultimate parent company;

— Candidate presentation document with key data (Turnovers, results, number of employees, short history, company footprint, activities and associated turnover, board members, main customers, shareholders, O&M organization and governance, …);

— Annual accounts for the previous 3 years (if available) and the quarterly reports/interim accounts for the current financial year (if applicable);

— Contact details during tendering process.

Capacité technique et professionnelle:

Information and formalities necessary for evaluating if the requirements are met: In case of joint ventures or consortiums, Candidates shall indicate which partner has the relevant experience.

In case one or several activities listed below are subcontracted, subcontractor must be identified and relevant experience with regard to such subcontractor shall be described in Candidate's response.

For each of the following items, precise if the activity was solely performed by the Candidate's organization.

If not, state which part was performed by a partner of a joint venture or of a consortium (and give name of the partner), or if it was performed by a subcontractor (and give name of the subcontractor). In this(ese) case(s), indicate the part (scope and percentage of the global contract) actually performed by the Candidate and the part (scope and percentage of global contract) performed by the partner and/or subcontractor.

The required information shall include as a minimum the following:

A) Relevant experiences.

1. (Mandatory) Description of relevant experiences, highlighting the capacity to carry out an EPCI contract. For each project, please specify:

a) Name of client;

b) Contract award and completion dates;

c) Codes and standards (US, European or others) used for the Project;

d) Price of contract.

2. Description of relevant experiences, highlighting the capacity to carry out technical support services to offshore wind farm operators or floating structures. For each service, please specify:

a) Name of client and type of Plant;

b) Internal organization to support O&M services;

c) List of in-house and sub-contracted technical support service;

d) Typical O&M documentation.

B) Activities specific to Floating Sub-Structures and Station-Keeping System for Offshore Wind Turbines.

1. (Mandatory) Presentation of a typical Floating Sub-structure, Station-Keeping System, and associated equipments considered for the development in floating offshore wind.

2. (Mandatory) Description of achievements for this product including:

a) Short description of the engineering studies performed with regards to floating offshore wind (R&D studies, FEED studies, detailed design, ...);

b) Short description of the participation in JIP (Joint Industry Project) with regards to offshore wind business;

c) (Mandatory) Reference(s) and short description of basins tests dedicated to the Floating Sub-Structure concept (main objectives, location, duration, calibration);

d) References on Certification process and Classification of the Floating Sub-Structure and Station-Keeping System;

e) Short description of typical mechanical and electrical interfaces with the Wind Turbine Generator system and the Inter Array Cables;

f) Electrical experience in the offshore wind business;

g) (Mandatory) Capability to develop fabrication method statement: list of references and short description;

h) (Mandatory) Capability to develop Transport and Installation method statement: list of references and short description;

i) (Mandatory) References of development of prototype and/or pilot farm with regards to floating offshore wind;

j) Development roadmap in Floating offshore wind market.

C) (Mandatory) In-house capabilities.

1. Organization charts presenting Design, Engineering, Fabrication, Transport and Installation and Inspection Maintenance Repair Departments.

D) (Mandatory) QHSE.

1. Description of Quality management system and confirmation of ISO9001 or equivalent;

2. Description of Candidate's HSE management system;

3. Accidents statistics for the past 3 years, Including Accidents frequency ratio and Accidents severity ratio.

Conditions relating to the contract(s) will be stated in the tender documents. The Contracting Entity reserves the right to demand a Performance Security (for instance Performance bond, Parent Company Guarantee …).

All the conditions will be detailed in the Contract documents attached to the invitation to tender.

Payments as follow: Up to 45 days end of month, after receipt of valid invoice (to be confirmed in the invitation to tender documents).

Financing with shareholders equity (to be confirmed in the invitation to tender documents).

Forme juridique que devra revêtir le groupement d'opérateurs économiques attributaire du marché:

Candidates may be either single companies or consortium.

— In case the Candidate is a joint venture, the copy of the project of joint venture agreement is required;

— In case the Candidate is a consortium, a copy of the Memorandum Of Understanding or the project of contract of consortium has to be included. The consortium shall be jointly and severally liable (‘conjoint et solidaire’) or with a jointly liable leader (‘mandataire solidaire’);

— In case the Candidate is a single company, description of qualification and experience of subcontractors (or potential subcontractors) to whom major parts of the works (such as design, fabrication or installation) are going to be subcontracted, has to be included.
