Provision of a comprehensive set of services consisting of email, internal and external electronic collaboration and unified communications

EDF SA with the optional participation of majority-owned French and foreign subsidiaries (see list in section VI.3)

The intention is to purchase a comprehensive solution to replace existing email and collaboration systems and to implement additional functionalities such as social networking, unified communication and external collaboration. The initial scope will cover EDF SA but the solution must be sufficiently flexible and scalable for potential implementation across EDF Group companies.

The applicant has the following options in order to respond to this notice by submitting an application to participate containing all the information and documentation stated in this notice: 1°) in hardcopy paper format or electronic format on CD, DVD or USB Key sent to the address stated in section I.1) of this notice; 2°) via the EDF SA purchasing portal http://portailachats.edf.fr, The file reference for this notice is: Public Request for Information Rfi-53599 (tender_93745). If not already registered, applicants will be required to complete a supplier registration on the portal to gain access to the Rfi site. All applications must arrive on or before the closing date. It is the applicants responsibility to ensure timely arrival of his application. The successful applicants will be selected using the criteria in this Contract Notice. The selected applicants will receive a Pre-qualification Questionnaire (Dossier d’Examen d’Aptitude) which will need to be fully completed to progress further in the consultation. If the completed Pre-Qualification Questionnaire satisfies the evaluation rules described in it, the successful applicants will be required to present their responses to a jury. This jury will establish the final list of applicants to be invited to submit full tender. Applications to tender will not be accepted from the following:

1) applicants who have been the subject, within the last five years, of a legal conviction for one or more of the infringements envisaged by articles 222-38, 222-40, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6, 421-2-1, 421-5 second subparagraph, 433-1, 433-2 second subparagraph, 434-9 eighth subparagraph, 434-9-1 second subparagraph, 435-3, 435-4, 435-9, 435-10, 441-1 to 441-7, 441-8 first and second subparagraphs, 441-9, 445-1 and 450-1 of the French Penal Code, and by 1741 of the French General Tax Code;

2) applicants who have been the subject, within the last five years, of a legal conviction in a judgement registered in the bulletin N°2 of the record for punishments for the infringements mentioned in articles L. 8221-1, L. 8221-3, L. 8221-5, L. 8231-1, L. 8241-1 and L. 8251-1 of the French working law;

3) applicants who are subject to a compulsory liquidation order under the terms of article L640-1 of the Commercial Code, personal individuals who have been declared bankrupt according to articles L653-1 to L653-8 of the Commercial Code, as well as those who have been the subject of an equivalent procedure under the law of another country.

Applicants who have entered into administrative receivership/judicial recovery in accordance with article L631-1 of the Commercial Code or an equivalent procedure under the law of another country must provide proof that they have been authorised to continue their activities for the foreseeable duration of the contract and must produce in support of their application a copy of the legal order(s) which confirm this.

4) Applicants who at 31st December of the year preceding that in which the consultation was launched, had not made the legally required tax and social declarations falling to them, or had not discharged the taxes and contributions due at this date.

However, those following applicants, who at 31st December of the year preceding that in which the consultation was launched, had not discharged the taxes and contributions due at this date or given guarantees but who, prior to the launch date of this consultation and without any legal enforcement action on the part of the State or the legally-appointed collection agency, have either discharged the above-mentioned taxes and contributions or provided guarantees considered sufficient by the State or the legally-appointed collection agency, are considered to be legitimate.

Personal individuals who are directors or de facto directors of a corporate body which does not satisfy the aforementioned conditions in this paragraph, cannot personally be applicants for a contract.

To prove he is not in one of the positions cited in points 1) to 4) above, the applicant must provide a signed and dated statutory declaration to that effect.

These conditions apply to each applicant and to each member of a group application. In the case of insufficient or missing evidence or answers to listed criteria, the applicant may be rejected.

Situation économique et financière:

The applicant must provide the following information and documentation: (in respect of the order listed below);

1°) an overall presentation of the company (corporate name, legal status, date of foundation, ...);

2°) the certification of the total turnover and, if existing, the certification of the turnover realised with EDF Group. To participate in this tender, the applicant or the grouping of economic operators must present a turnover higher than 10 000 000 EUR in the following activities: software and/or internet services supply in email and related unified communication and collaboration systems;

3°) a copy of the profit and loss accounts for the last 3 years;

4°) the business report for the last 3 years;

5°) the dependency rate with its biggest customer (turnover of its biggest customer/applicants own global turnover for the same period in %).

In the case of insufficient or missing evidence or answers to listed criteria, the applicant may be rejected.

Capacité technique et professionnelle:

A) The applicant must indicate in its application:

1°) Whether its application is an individual or as mandated party of an economic grouping of operators.

2°) In its role as the mandated party of an economic grouping, what elements of the requirements it is able to provide himself and which it proposes to provide through another economic operator.

B) The applicant must provide the following information and documentation: (in respect of the order listed below).

1°) The applicant or grouping of economic operators must provide proof of its track record, experience and ability to provide and support comprehensive email and collaboration solutions inclusive of additional functionalities such as social networking, unified communication and external collaboration, by providing detailed case studies from 3 major customer references, and examples of relevant of agreements and/or certifications.

2°) The applicant must provide proof of its ISO 9001, ISO 14001, ISO 27000 and ITIL certification or equivalent certifications.

3°) The applicant must be able to provide full documentation for the user and technical staff for each and all of its proposed products and services in at least these two following languages: English and French.

4°) The applicant must provide proof of its capacity to supply hotline and technical support services in national languages for the two following countries: France and United Kingdom. For the other countries, the applicant must describe its capacity to provide services and support in Europe and outside Europe.

5°) The applicant must provide proof of its capacity and ability to operate at a European (and potentially Worldwide) level in terms of its pricing and service provision. The applicant will be required to provide evidence that all its European divisions and / or subsidiaries are fully aware and support this application and any subsequent offers.

6°) The applicant must describe the measures taken to protect personal data. (in case of internet service supply).

7°) In the case of solution based on external cloud services, the applicant must provide evidence of continuity of service.

In the case of insufficient or missing evidence or answers to listed criteria, the applicant may be rejected.

Exécution du marché
Dépôts et garanties exigés:

Deposits and financial guarantees will be detailed in the rules of the tender. The maximum limit of these guarantees may reach 10 % of the total value of this project.

Principales conditions de financement et modalités de paiement et/ou référence aux dispositions pertinentes qui les régissent:

Financing with equity capital, 60 days payment from the reception date of invoice.

Forme juridique que devra revêtir le groupement d'opérateurs économiques attributaire du marché:

One primary economic operator with a mandate from the other economic operators in the grouping to take responsability for all the economic operators in the grouping. At this point, if the applicant is not able to meet all the activities corresponding to the CPV codes listed in section II.1.6 or is not able to meet all the needs suggested in the short description of section II.1.5, it can suggest that the legal form of its application would be a grouping of economic operators for which it will be the mandated party and that the subsequent others members will be named to the response of the Pre-qualification Questionnaire mentioned in section VI.3.

Autres conditions particulières:

The applicants are made aware that any proposed future solution must be inter-operable with existing EDF Group systems and solutions. Details of this condition will be fixed in the technical specifications of the tender.
