Habilitation à exercer l'activité professionnelle:

The candidate (either a company or a consortium) cannot bid if they have been subject to the cases mentioned in articles L2141-1 to L2141-11 of the French Public Order Code.

The candidate undertakes to report any change of situation in accordance with Article L2141-12 of the French Public Order Code.

The candidate must comply with articles L. 5212-1 to L. 5212-11 of the French Labor Code concerning the employment of disabled workers.

Only companies or consortium that have submitted the following documents may bid:

- a consortium agreement duly completed if several candidates wish to present themselves and specifying the services or supply to be performed by each member of the consortium, based on the EDF Renouvelables template communicated on the EDF purchasing portal;

- a dated and signed honor statement provided by the company or each member of the consortium, based on the EDF Renouvelables template communicated on the EDF purchasing portal;

- a K-Bis extract of less than six (6) months or company registration certificate from the applicant establishment or each establishment in the consortium;

- a certificate of social declarations and payment of contributions from the company or each member of the consortium;

- a certificate of fiscal regularity from the company or each member of the consortium;

- a valid certificate of civil liability insurance from the company or each member of the consortium;

- the EDF compliance questionnaire duly completed, dated and signed by the company or by each member of the consortium, based on the EDF Renouvelables template communicated on the EDF purchasing portal.

Situation économique et financière:

All evidences expected are mandatory. If not provided, the candidate application shall not be considered.

- Financial statements for the last two (2) years;

- If the candidate cannot share its financial statements, it needs to share its parents company’s one and provide a parent company guarantee.

Niveau(x) minimal/minimaux de normes:

The average turnover of the candidate for the last two years shall be equal to or above twice the expected annual turnover for the LOT considered.

The financial criteria will be applied to each lot.

For example: if the candidate does not pass the financial criteria for lots 1 and 2, it will automatically be considered for lots 3 and 4 only.

The company or each member of the consortium must submit a presentation of its structure, its organization, and in case of a subsidiary, must indicate the name of its parent company and its share.

Capacité technique et professionnelle:

Candidates must be able to prove that:

- they have sufficient and operational production capacity for at least a 50 MW production per year. A clarification shall be made on the possession of an in-house production tool or not.

- they have a listed track record with documented and detailed information about the scope performed in relation with the design, supply, delivery and installation of PV structures for the last 4 years (including project name, installed power capacity, location, end client, type of PV structures);

- They are either (i) certified NF EN ISO 9001 (or equivalent) or (ii) at least under the process of certification with documented evidence provided by the candidate;

- They are either (i) certified NF EN ISO 14001 (or equivalent) or (ii) at least under process of certification with documented evidence provided by the candidate;

- They have its own human resources in order not to subcontract more than 30% of the scope of supply. A dated and signed honor statement and a subcontracting list (if any) shall be provided;

- They have sufficient resources (human, technical, financial) in order to provide the equipment and perform engineering of PV structures. A minimum 3 pages report shall be provided;

- They have the capacity to read, write and understand French and/or English language (in the following fields : commercial, engineering, technical support). A dated and signed honor statement shall be provided;

- They have the capacity to perform engineering and detailed design of PV fixed structures in-house without using any subcontracting. A dated and signed honor statement shall be provided;

- For installation of PV structures, they have the capacity to deliver a 10-years guarantee. A dated and signed honor statement shall be provided and/or a valid insurance liability certificate mentioning the 10-years warranty period coverage.

Suppliers respond to all lots and will be awarded in multi-criteria ranking order. EDF Renouvelables will award one lot per supplier

Financial criteria will be applied to each lot.

The conditions relating to financial guarantees will be presented in the administrative and specific clauses, however, EDF Renouvelables reserves the right to ask for the following guarantees:

1/ Deposit refund bank guarantee covering the amount of the down payment that would eventually be paid to the candidate at the signing of the contract. This bank guarantee must be issued by institution / bank approved by EDF Renouvelables.

2/ Parent company guarantee. However, if the candidate is not a subsidiary or the parent company is not in the ability to deliver a parent company guarantee, the candidate must provide a bank guarantee issued by a school / institution / bank approved by EDF Renouvelables. The candidate and the institution issuing the bank guarantee must regularly provide an update of their accounts and financial reports until the end of the guarantee period.

Financing from own resources- Payment under 45 days end of month or within 60 days net.

Candidates may be either single companies or consortium.

In case the candidate is a consortium, a consortium agreement or a project of consortium agreement shall be provided. The consortium shall be jointly and severally liable or with a jointly liable leader.

Conditions described from III.1.1 to III.1.3 should apply to each member of the consortium

A candidate that submit an offer as member of a consortium or a joint-venture, may not submit an offer as single company or with another consortium or joint-venture.

Conditions d'exécution du contrat:

For production as well as for installation part, only subcontracting of rank 2 is allowed. If structure fabrication is subcontracted, contractor bears the guarantee on the design and production.

This contract notice cancels and replaces the contract notice with reference 2023/S 144-460724 - Framework agreement for the supply of PV structures published in Official Journal of the European Union on July 25th, 2023, which conditions have been updated as follows:

Section III.1.2) The financial ability criteria have been changed and limited to the last two (2) years (instead of the last three (3) years). The minimum financial capacity has also been changed to consider an average turnover equal to or above twice the expected annual turnover for the LOT considered.

Section III.1.3) The technical and professional ability criteria have been changed to integrate past experience of candidates in relation to design, supply, delivery and installation of PV fixed structures. The criteria in relation to NF EN ISO 9001 and NF EN ISO 14001 certificates have been changed to include an on-going process of ISO certification (both ISO 9001 and ISO 14001) with documented evidence to be provided by the candidate. The requirements in relation to engineering and design conception have also been changed and limited to the capacity of performing engineering in-house for the PV fixed structures (engineering of foundation design being not included). For the installation of PV structures, requirements have been changed and include the submission of either (i) a dated and signed honor statement confirming the capacity of the candidate to deliver a ten-years guarantee, and/or (ii) a valid insurance liability with the mention of ten-years liability insurance for PV fixed structures.
