Batch concerned: 5b

Engineering, procurement, construction, installation and assistance to commissioning of 1 transformer 75MVA 65/33 KV + spare parts (list detailed in the ITT).

Description des options:

Three TC's (bushing type) at the 33kV level set outside of IP65 protection (basecop without TC's at the 33kV level)

— 33 kV TC's inside the transformer, the rating will be defined later.

— external HV TC's with double wiring at the secondary side. (Protection: 400/1 15VA cl 5P20 and measurements 400/1 15VA cl 0.2) Basecop external HV TC's with only one wiring (protection 400/1 15VA cl 5P20)

The supply and installation of the ‘massecuve’ TC and its base are in the SoS.

The rating of the massecuve TC will be 1000/5 20VA cl 5P20 (base scope: the supply of this massecuve TC is not included in this SoS)

The base of the HV overvoltage protection in the transformer

A Genset has to be included in the scope for the oil treatment.

Warranty ext. 36 months

Spare parts.

_3_ Those candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L.653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction.

Candidates admitted to the compulsory reorganization proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorized to continue their activities throughout the foreseeable term of execution of the contract.

_4_ Those candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible candidates: those candidates who, on31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract.

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) above, the candidate must furnish a sworn statement, dated and signed.

These conditions are applicable to the candidates and to each of the members of a group wishing to tender as a single candidate.

Situation économique et financière:

_1_ Ownership and corporate form. If the company

is a subsidiary, the name and address of the ultimate parent company must be stated as well as the name and address of a French representative, if any.

_2_ Annual accounts (incl. the accountant's opinion) for the previous 3 years (if available) and the quarterly reports/interim accounts for the current financial year (if applicable). If 50 % or more of the company is owned

by another company or if that other company controls

50 % or more of the votes or can appoint more than half of the members of the board of management or of the supervisory board of the company the same information is requested from that controlling company.

_3_ If the company, parent company, bank or insurance company providing performance guarantees is rated

by S&P, Moody's or equivalent, please furnish the associated statement and the rating.

_4_ The company must justify a turnover of more than

4 000 000 EUR per year for 2013 and 2014 (and more than 15 000 000 EUR for group economics operators; the mandatory must justify a turnover of more than 4 000 000 EUR).

General requirements:

If the company relies on the economic and financial capacity of another entity/entities, the company shall prove to the satisfaction of the Contracting Authority that the necessary resources will be available to it by way of an undertaking from these entities.

If a consortium submits a request for tendering,

the information set out in 1, 2 and 3 above must be submitted for each member of the consortium.

Capacité technique et professionnelle:

1_ Coordination — Works management — Industrial means

— Statement of the Tenderer's ability to plan and manage the works.

— Statement of the tools, plant or technical equipment available to the Tenderer for carrying out similar Contracts.

a) Minimum requirements.

— The Tenderer must be able to perform management and coordination of engineering, procurement, subcontracting management, construction and installation activities

— The Tenderer must be able to use the French

language on the documentation provided and at least English language to communicate technically and commercially.

— Organization chart showing main functional responsibilities

— Project Organization chart for managing a project of 2 transformators.

— Engineering review process the Tenderer applies to control and ensure that engineering is performed as per good practices and industry codes and standards.

— Manufacturing Quality Plan, including the Inspection and test plan

— Indication whether the Tenderer intend to subcontract part of the supplies, and if subcontracting will be applied, the description of the subcontracted parts

2_ QHSE

2.1_ Quality: Statement of the Tenderer's quality management system according to ISO 9001 or equivalent, including definition of production place, process flow map and management target, policy and vision covering the scope.

a) Minimum requirements: ISO 9001 certificate or equivalent

b) Documents to be provided:

— ISO 9001 valid certificate or evidence of the equivalence named

— Statements of his major sub-contractors' quality management systems according to ISO 9001 or equivalent.

2.2_ Environment: Statement of the Tenderer's environmental management system according to ISO

14001 or equivalent, including definition of production place, process flow map and management target, policy and vision covering the scope.

a) Minimum requirements: ISO 14001 certificate or equivalent or process engaged

— ISO 14001 valid certificate or evidence of the equivalence named.

— Statements of his major sub-contractors' environmental management systems according to ISO

14001 or equivalent.

3_ Technical

Minimum Requirements: The transformers shall respect the following characteristics:

— Outdoor threephase oil immersed HV/MV transformer

— Quantity 2

— Frequency 50Hz

— Cooling class ONAN / ONAF

— Rated Power ONAF: 90MVA (may change slightly)

— Rated power ONAN: at least 60 % of ONAF rated power

— On load tap changer HV side

— Transformer losses:

— No load losses: max 0.04 % of ONAN rated power

— Load losses: max 0.45 % of ONAN rated power

* may change slightly

Follows the “reglementation N°548/2014 form the commission of 21.5.2014.

Exécution du marché
Dépôts et garanties exigés:

Conditions relating to the contract will be stated in the tender documents. However, the Contracting Entity reserves the right to demand a Performance Security (for proper performance of all obligations under the Contract) comprising:

_1_ A on-demand Advance Payment guarantee provided by a bank or an insurance company approved by the

Contracting Entity, and

_2_ a Parent Company Guarantee

However, if the company is not a subsidiary or if the company's ultimate parent company cannot comply with the requirements stated in _3a_ above, the company shall procure:

_3b_ a Performance Guarantee provided by a bank or an insurance company value.

Such Performance Guarantee shall be provided by an entity approved by the Contracting Authority.

The company and the Performance Security provider will be requested to deliver updates (annually, interim/ quarterly/monthly (whatever is available)) accounts during completion of the works including during the time of remediation of defects and liability period if any (including any extension).

Principales conditions de financement et modalités de paiement et/ou référence aux dispositions pertinentes qui les régissent:

Financing with shareholders equity (to be confirmed in the invitation to tender documents).

_Payment as follow: up to 45 days, end of the month after receipt of valid invoice (to be confirmed in the invitation to tender documents). Payments are in EUR.

Forme juridique que devra revêtir le groupement d'opérateurs économiques attributaire du marché:

The group economics operators must be jointly liable.

In case the tenderer is a consortium / joint venture, a copy of the Memorandum Of Understanding or the Contract of consortium/ joint venture has to be provided. The form of the consortium/joint venture shall be joint and several (solidaire) or joint (conjoint) with a several leader (mandataire solidaire).

Autres conditions particulières:

Only Tiers 1 subcontractors are allowed.

The contract will be governed and ruled by French Law.
