Habilitation à exercer l'activité professionnelle:

— List of worldwide locations (subsidiaries, affiliates, joint ventures, distributors) specifying the type of functionality (production, service, sales)

— An administration statement of the company that the work will be achieved by regular workers, according to the laws in effect.

— Attestation of lack of conviction for the last five years for professional misconduct of either the company or its managers.

The following cannot tender:

1) Those candidates who have, within the last five years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6, 413-9, to 413-12, 421-1 to 421-2-3, subparagraph two of Article 421-5, Article 433-1, subparagraph two of Article

433-2, subparagraph eight of Article 434-9, subparagraph two of Article 434-9-1, Articles 435-3, 435-4, 435-9,

435-10, 441-1 to 441-7, 441-9, 445-1 and 450-1 of the French Penal Code, Article 1741 of the French General Tax Code and Articles L. 2339-2 to L. 2339-4, L. 2339-11-1 to L. 2339-11-3 of the French Defense Code and L.317-8 of the French Interior Security Code.

2)Those candidates who have, within the last five years, been handed down a sentence listed on Report n° 2 of the Criminal Records Bureau for the offences referred to in articles L. 8221-1, L. 8221-3, L. 8221-5, L. 8231-1, L.8241-1, L. 8251-1 and L 8251-2 of the French Labour Code.

3)Those candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L.653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction.

Candidates admitted to the compulsory reorganisation proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract.

4)Those candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible candidates: those candidates who, on

31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible

for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract.

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) above, the candidate must furnish a sworn statement, dated and signed.

These conditions are applicable to the candidates and to each of the members of a group wishing to tender as a single candidate.

— Annual accounts for the previous 3 years (if available) and the quarterly reports/interim accounts for the current financial year (if applicable).

Capacité technique et professionnelle:

In case one or several activities listed below resubcontracted, subcontractor must be dentified and relevant experience with regard to such subcontractor shall be described in Candidate's response.

For each of the following items, precise if the activity was solely performed by the Candidate's organization. If not, state which part was performed by a partner of a joint venture or of a consortium (and give name of the partner), or if it was performed by a subcontractor (and give name of the subcontractor).

B1.Commercial offshore wind farm activities

* B1.1. Statement of the Company's experience and turnover in the activity

* B1.2. List of references for Type certificate of the wind turbine in the activity

* B1.3. List of references for Type certificate (certificate number) of the wind turbine in the activity (mandatory)

* B1.4. List of usual suppliers/partners for each key technical areas within the activity

B2. Coordination — Works management:

* B2.1. Statement of the Company's ability to plan and manage the works: typical execution plan and key resource CV for the project, offices, factories

* B2.2 Key employees skills and experiences.

* B2.3 Information for the Grid compliance: WTG respect according to the national grid requisitions in terms of power quality (MW, /MVAR) of frequency adjustment participation...(mandatory)

* B2.4 List of main electrical equipments (SCADA, MV switch gear, ...) certified IEC (mandatory).

* B2.5 Quality Plan summary, including the global process the Company applies to control and ensure that the different phases of the EPC are performed as per good practices and industry codes and standards.

*B2.6 Procurement Plan summary. If subcontracting will be applied, the description of the subcontracted parts

B3. Quality

* B3.1. Statement of the Company's quality management system according to ISO 9001 or equivalent

* B3.2. Statement of Company's major sub-contractors' quality management systems according to ISO 9001 or equivalent.

B5 Technical capacity dedicated to floating market

* B5.1 Presentation of the wind turbine (equal or above 5MW) considered for the development in floating offshore wind:

— Standard description following type certification clarification sheet CBC 15 (IEC 61400-22:2010)

— Engineering development regarding to integrated design of the wind turbine with the floating sub-structure and controler adaptation

— prototype experience if any

* B5.2 Executive summary of the engineering activities on floating offshore wind turbine projects (FEED study, prototype, pilot farm…)

* B5.3 Description of past and ongoing R&D projects the Company is leading or contributing to:

— Reduce the cost of floating offshore wind turbine

— demonstrate and increase the reliability of the product

* B 5.4 Justification of implementation of industrial standards (Rules, guidelines, recommended practice, other) in the activity: training, contribution to IEC, ISO or similar community

* B 5.5 Capability to develop assembly and installation method statement: key employee skills, inhouse method statement specification or equivalent, list of references and short description

* B 5.6 Capability to develop construction method statement: key employee skills, in-house method statement specification or equivalent, list of references and short description

B6 Operation and Maintenance

* B6.1 Overview of the Company O&M strategy to ensure to the maximum extent continuous operation of the turbines including O&M objectives, logistic strategy, strategy for major component replacements, equipment obsolescence strategy

* B6.2 Capacity to provide technical support services to offshore wind farm operators: internal organization for support services, list of in-house and sub-contracted technical support services, typical service performance contractual commitment (hours of services, response time etc...) or sub-contractors performance evaluation criteria

* B6.3 Training services provided to offshore wind farm operators including organization for training sessions, list of training modules, is it mandatory for the Company's approved sub-contractors to attend these sessions? Is it possible for the Employer to attend these sessions?

* B 6.4 List of O&M contracts for offshore wind farm or onshore wind farms in the past 10 years specifying for each contract the project identification, name and address of client, contract award and completion dates, brief description of the works performed by the Company

* B 6.5 Provide typical O&M documentation:

— Extraction of an O&M plan

— Extraction of a typical spare parts and special tool lis.

Conditions relating to the contract(s) will be stated in the tender documents. The Contracting Entity reserves the right to demand a Performance Security (for instance performance bond, Parent Company Guarantee...).

All the conditions will be detailed in the Contract documents attached to the invitation to tender.

Payment as follow: Up to 60 days, starting from the release date of valid invoice issuance (to be confirmed in the invitation to tender documents)

Financing with shareholders equity (to be confirmed in the invitation to tender documents).

Forme juridique que devra revêtir le groupement d'opérateurs économiques attributaire du marché:

Candidates may be either single companies or consortium.

— In case the Candidate is a joint venture, the copy of the project of joint venture agreement is required.

— In case the Candidate is a consortium, a copy of the Memorandum Of Understanding or the project of contract of consortium has to be included.

The consortium shall be jointly and severally liable (‘conjoint et solidaire’) or with a jointly liable leader (‘mandataire solidaire’).
