Information and formalities necessary for evaluating if requirements are met:

— Legal form and registration in a commercial register,

— Corporate ownership and Parent Company (if any),

— Corporate headquarters,

— List of worldwide locations (subsidiaries, affiliates, joint ventures, distributors) specifying the type of functionality (production, service, sales),

— An administration statement of the company that the work will be achieved by regular workers, according to the laws in effect,

— Statement of its social position, in accordance with E.U. regulation No 1408-71, dated 16/06/1971, or according to international agreement,

— Attestation of lack of conviction for the last five years for professional misconduct of either the company or its managers.

In particular, may not tender:

1) those Candidates who have, within the last five years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6,413-9 to 413-12, 421-1 to 421-2-3, subparagraph two of Article 421-5, Article 433-1, subparagraph two of Article 433-2, subparagraph eight of Article 434-9, subparagraph two of Article 434-9-1, Articles 435-3, 435-4, 435-9,435-10, 441-1 to 441-7, 441-9, 445-1 and 450-1 of the French Penal Code, Article 1741 of the French General Tax Code and Articles L. 2339-2 to L. 2339-4, L. 2339-11-1 to L. 2339-11-3 of the French Defense Code and L.317-8 of the French Interior Security Code.

2) those Candidates who have, within the last five years, been handed down a sentence listed on Report n

° 2 of the Criminal Records Bureau for the offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L.8231-1, L. 8241-1, L. 8251-1 and L 8251-2 of the French Labour Code.

3) those Candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L.653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction. Candidates admitted to the compulsory reorganisation proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract.

4) those Candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible Candidates: those Candidates who, on 31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract. In order to provide evidence that it is not in one of the situations cited in points 1) to 4) above, the Candidate must furnish a sworn statement, dated and signed.

These conditions are applicable to the Candidates and to each of the members of a group wishing to tender as a single Candidate.

Situation économique et financière:

A1. Ownership and corporate structure. If the company is a subsidiary, the name of the parent company and ultimate parent company must be stated as well as the name of a French representative, if any.

— Last 3 financial year's turnover, EBIT, and number of employees in total, as well as for the respective divisions,

— Annual report of the last financial year,

— Declaration that the company neither filled or is involved in insolvency proceedings and that insolvency proceedings have not been refused for lack of assets,

— Rating of an independent rating agency, whose rating is based on relevant European standards or equivalent criteria,

— Proof of valid liability insurance stating the sum insured.

Capacité technique et professionnelle:

In case of joint ventures or consortiums, Candidates shall indicate which partner has the relevant experience.

In case one or several activities listed below re subcontracted, subcontractor must be dentified and relevant experience with regard to such subcontractor shall be described in Candidate's response.

For each of the following items, precise if the activity was solely performed by the Candidate's organization. If not, state which part was performed by a partner of a joint venture or of a consortium (and give name of the partner), or if it was performed by a subcontractor (and give name of the subcontractor). In this(ese) case(s), indicate the part (scope and percentage of the global contract) actually performed by the Candidate and the part (scope and percentage of global contract) performed by the partner and/or subcontractor.

The required information shall include as a minimum the following:

Item G-1: General Engineering, Procurement, Construction and Installation contractor experience

— List of relevant contracts for the past ten (10) years, specifying for each contract:

— Project identification,

— Name and address of client,

— Contract award and completion dates,

— Brief description of the works performed by the Candidate, with information regarding the codes and standards (US, European or others) used for the Project

— Price of contract or, in case of consortium and/or substantial parts were subcontracted, part of contract implemented by the Candidate.

Item DE-1: Design and engineering experience relating to marine or offshore works including special large concrete or mixed (concrete and steel) foundations (such as Gravity Base Foundations for Offshore Wind Turbines or caissons for harbor quays, dikes or bridge piles at sea, including for oil and gas platforms or similar) and associated works (soil preparation, scour protection, ballast)

— List of relevant contracts (i.e. part of the contract performed by the entity in charge of the design and/or engineering) for the past ten (10) years, specifying for each contract

— Project short description, including capacity and dimensions of the foundations or works carried out, with information regarding the codes and standards (US, European or others) used for the Project,

— Details of relevant experience.

Item DE-2: Engineering experience relating to the installation of marine or offshore works including special large concrete or mixed (concrete and steel) foundations (such as Gravity Base Foundations for Offshore Wind Turbines or caissons for harbor quays, dikes or bridge piles at sea, including for oil and as platforms or similar) and associated works (soil preparation, scour protection, ballast)

— List of relevant contracts (i.e. part of the contract performed by the entity in charge of the engineering) or the past ten (10) years, specifying for each contract:

— Project short description, including description of methods for installation, with information regarding the codes and standards (US, European or others) used for the Project,

Item DE-3: Design and engineering organization and capabilities

— Engineering management organization, team resources (permanent and contracted to be distinguished) – Main disciplines, core of the design/engineering department and specialists (relevant for concrete foundation design and marine works),

Codes and standards currently used by the design department,

— Engineering manual, list of engineering procedures, sample of procedures.

Item C-1: Construction experience relating to marine or offshore works including special large concrete or mixed (concrete and steel) foundations (such as Gravity Base Foundations for Offshore Wind Turbines or caissons for harbor quays, dikes or bridge piles at sea, including for oil and gas platforms or similar) and associated works (soil preparation, scour protection, ballast)

List of relevant contracts for the past ten (10) years, specifying for each contract:

— Project short description, including volumes and characteristics of the reinforced concrete structures, with information regarding the codes and standards (US, European or others) used for the Project— Details of methods and construction techniques,

— Details of pre-stressing construction techniques.

Item C-2: Installation experience relating to marine or offshore works including special large concrete or mixed (concrete and steel) foundations (such as Gravity Base Foundations for Offshore Wind turbines or caissons for harbor quays, dikes or bridge piles at sea, including for oil and gas platforms or similar) and associated works (soil preparation, scour protection, ballast)

— Project short description, including characteristics of the installed structures, with information regarding the codes and standards (US, European, others) used for the Project

— Details of methods and means of installation.

Item M-1: Health and Safety management policy

— Copy of the Candidate's Health and Safety policy signed by a senior representative,

— Resume of the Candidate's Health and Safety policy showing its main objectives,

— Copy of OHSAS certificate or equivalent.

Item M-2: Candidate's accidents statistics

— Candidates average statistics for the past three (3) years, including:

— Accidents frequency ratio,

— Accidents severity ratio,

Item M-3: Environmental management policy, environmental management system

— Copy of the Candidate's Environmental policy signed by a senior representative,

— Summary of the Candidate's Environmental policy showing its main objectives,

Item M-4: Quality management policy, quality management system

Documents describing the Candidate's quality system:

— Copy of the Candidate's quality policy signed by a senior representative,

— Summary of the Candidate's quality policy showing its main objectives,

Resources and means used for similar projects.

These conditions will include securities such as an Advance Payment bond, an on-demand Performance bond and a Parent Company Guarantee.

All the conditions will be detailed in the Contract documents attached to the invitation to tender.

Payments will be made according to French law.

Candidates may be either single companies or consortium.

— In case the Candidate is a joint venture, the copy of the project of joint venture agreement is required,

— In case the Candidate is a consortium, a copy of the Memorandum Of Understanding or the project of contract of consortium has to be included. The consortium shall be jointly and severally liable ("conjoint et solidaire") or with a jointly liable leader ("mandataire solidaire"),

— In case the Candidate is a single company, description of qualification and experience of subcontractors (or potential subcontractors) to whom major parts of the works (such as design or installation) are going to be subcontracted, has to be included.
