For each lot, the contracting entity will have the possibility to extend entirely or partially the maintenance services for an additional period of 3 years.

— An administration statement of the company that the work will be achieved by regular workers, according to the laws in effect,

— Attestation of lack of conviction for the last five years for professional misconduct of either the company or its managers.

In particular, may not tender:

1) those Candidates who have, within the last five years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6,413-9 to 413-12, 421-1 to 421-2-3, subparagraph two of Article 421-5, Article 433-1, subparagraph two of Article 433-2, subparagraph eight of Article 434-9, subparagraph two of Article 434-9-1, Articles 435-3, 435-4, 435-9,435-10, 441-1 to 441-7, 441-9, 445-1 and 450-1 of the French Penal Code, Article 1741 of the French General Tax Code and Articles L. 2339-2 to L. 2339-4, L. 2339-11-1 to L. 2339-11-3 of the French Defense Code and L.317-8 of the French Interior Security Code.

2) those Candidates who have, within the last five years, been handed down a sentence listed on Report n

° 2 of the Criminal Records Bureau for the offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L.8231-1, L. 8241-1, L. 8251-1 and L 8251-2 of the French Labour Code.

3) those Candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L.653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction. Candidates admitted to the compulsory reorganisation proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract.

4) those Candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible Candidates: those Candidates who, on 31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract. In order to provide evidence that it is not in one of the situations cited in points 1) to 4) above, the Candidate must furnish a sworn statement, dated and signed.

These conditions are applicable to the Candidates and to each of the members of a group wishing to tender as a single Candidate.

Situation économique et financière:

A1. Ownership and corporate structure. If the company is a subsidiary, the name of the parent company and ultimate parent company must be stated as well as the name of a French representative, if any.

— Last 3 financial year's turnover, EBIT, and number of employees in total, as well as for the respective divisions,

— Annual report of the last financial year,

— Declaration that the company neither filled or is involved in insolvency proceedings and that insolvency proceedings have not been refused for lack of assets,

— Rating of an independent rating agency, whose rating is based on relevant European standards or equivalent criteria,

— Proof of valid liability insurance stating the sum insured.

Capacité technique et professionnelle:

The required information shall include as a minimum the following:

Item G-1: General engineering, procurement, construction and installation candidate experience:

List of relevant contracts for the past ten (10) years, specifying for each contract:

— Project identification,

— Name and address of client,

— Contract award and completion dates,

— Brief description of the works performed by the Candidate, with information regarding the codes and standards (US, European or others) used for the Project,

— Price of contract or, in case of consortium and/or substantial parts were subcontracted, part of contract implemented by the Candidate,

— Project execution plan,

— Planning for the project.

Item DE-1: Design and engineering experience relating to marine or offshore works including offshore substations (for offshore wind farms or oil and gas fields or similar) comprising a topside providing integration and protection for electrical equipment and a substructure as well as associated works (lifting, piling, drilling, welding, scour protection).

List of relevant contracts (i.e. part of the contract performed by the entity in charge of the design and/or engineering) for the past ten (10) years, specifying for each contract:

— Project short description, including capacity and dimensions of the offshore substation or works carried out, with information regarding the codes and standards (US, European or others) used for the Project,

— Details of relevant experience (regarding steel structure, electrical and communication design).

Item DE-2: Engineering experience relating to the installation of marine or offshore works including offshore substations (for offshore wind farms or oil and gas fields or similar) comprising a topside providing integration and protection for electrical equipment and a substructure as well as associated works (lifting, piling, drilling, welding, scour protection)

List of relevant contracts (i.e. part of the contract performed by the entity in charge of the engineering) or the past ten (10) years, specifying for each contract:

— Project short description, including description of methods for installation, with information regarding the codes and standards (US, European or others) used for the Project,

— Details of relevant experience (regarding marine works).

Item DE-3: Design and engineering organization and capabilities

— Engineering management organization, team resources (permanent and contracted to be distinguished),

— Main disciplines, core of the design/engineering department and specialists (relevant for steel structure design, electrical and communication design and marine works),

— Key employees skills and experiences mobilized by the Tenderer,

— Codes and standards currently used by the design department,

— Engineering manual, list of engineering procedures, sample of procedures,

— Engineering review process the Tenderer applies to control and ensure that engineering is performed as per good practices and industry codes and standards,

— Management of certification,

— Sample of final data book.

Item C-1: Construction experience relating to marine or offshore works including offshore substations (for offshore wind farms or oil and gas fields or similar) comprising a topside providing integration and protection for electrical equipment and a substructure as well as associated works (lifting, piling, drilling, welding, scour protection)

— Project short description, including dimensions, weight and electrical characteristics of the offshore substations, with information regarding the codes and standards (US, European or others) used for the Project,

— Details of methods and construction techniques,

— Manufacturing Quality Plan, including the Inspection and Test Plan,

— Statement of the tools, plant or technical equipment available to the Tenderer for carrying out similar Contracts.

Item C-2: Installation experience relating to marine or offshore works including offshore substations (for offshore wind farms or oil and gas fields or similar) comprising a topside providing integration and protection for electrical equipment and a substructure as well as associated works (lifting, piling, drilling, welding, scour protection)

— Project short description, including characteristics of the installed structures, with information regarding the codes and standards (US, European, others) used for the Project,

— Details of methods and means of installation for the following activities:

— substructure installation,

— Topside installation.

— Statement of the tools, marine assets or technical equipment available to the Tenderer for carrying out similar Contract.

Item M-1: Maintenance experience relating to marine or offshore works including offshore substations (for offshore wind farms or oil and gas fields or similar) comprising a topside providing integration and protection for electrical equipment and a foundation as well as associated works (lifting, piling, drilling, welding, scour protection)

— Details of relevant experience,

— Technical support services provided to offshore substation operators (remote and on-site support for troubleshooting, on-site support for periodic maintenance, engineering support, etc.),

— Spare parts and special tools list,

— Maintenance plan and extractions of a maintenance manual.

These conditions will include securities such as Advance Payment Bond, On-demand Performance Bond and Parent Company Guarantee.

All the conditions will be detailed in the contract documents attached to the invitation to tender.

Payments will be made according to French law.

Candidates may be either single companies or consortium.

— in case the Candidate is a joint venture, the copy of the project of joint venture agreement is required,

— in case the Candidate is a consortium, a copy of the Memorandum Of Understanding or the project of contract of consortium has to be included. The consortium shall be jointly and severally liable (‘conjoint et solidaire’) or with a jointly liable leader (‘mandataire solidaire’),

— in case the Candidate is a single company, description of qualification and experience of subcontractors (or potential subcontractors) to whom major parts of the works (such as design or installation) are going to be subcontracted, has to be included.
