All the documents must be provided in a workbook size 28cm x 32 cm inside a sealed envelop with the mention of the JOUE reference and the object of the contract. E-mail will not be accepted. Provide relevant contact name, address, telephone number and email details of person responsible for this submission. The contract will be governed and ruled by the French Law. Payments are in EUR. The award of the contract is subject to the Contracting Authority/Entity obtaining the required consents and permits.

_1_ Those candidates who have, within the last five years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6,413-9 to 413-12, 421-1 to 421-2-3, subparagraph two of Article 421-5, Article 433-1, subparagraph two of Article

433-2, subparagraph eight of Article 434-9, subparagraph two of Article 434-9-1, Articles 435-3, 435-4,435-9,

435-10 441-1 to 441-7, 441-9, 445-1 and 450-1 of the French Penal Code, Article 1741 of the French General Tax Code and Articles L. 2339-2 to L. 2339-4, L. 2339-11-1 to L. 2339-11-3 of the French Defense Code and L.317-8 of the French Interior Security Code.

_3_ Those candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L.653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction.

Candidates admitted to the compulsory reorganisation proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract.

_4_ Those candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible candidates: those candidates who, on31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract.

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) above, the candidate must furnish a sworn statement, dated and signed.

These conditions are applicable to the candidates and to each of the members of a group wishing to tender as a single candidate.

Situation économique et financière:

_1_ Ownership and corporate form. If the company is a subsidiary, the name and address of the ultimate parent company must be stated as well as the name and address of a French representative, if any.

_2_ Annual accounts (incl. the accountant's opinion) for the previous 3 years (if available) and the quarterly reports/interim accounts for the current financial year (if applicable). If 50 % or more of the company is owned by another company or if that other company controls 50 % or more of the votes or can appoint more than half of the members of the board of management or of the supervisory board of the company the same information is requested from that controlling company.

_3_ If the company, parent company, bank or insurance company providing performance guarantees is rated by S&P, Moody's or equivalent, please furnish the associated statement and the rating.

_4_ The company must justify a turnover of more than 7 M EUR per year for 2011 and 2012 (and more than 15 M EUR for group economics operators; the mandatory must justify a turnover of more than 7 M EUR).

General requirements:

If the company relies on the economic and financial capacity of another entity/entities, the company shall prove to the satisfaction of the Contracting Authority that the necessary resources will be available to it by way of an undertaking from these entities.

If a consortium submits a request for tendering, the information set out in 1, 2 and 3 above must be submitted for each member of the consortium.

Capacité technique et professionnelle:

_1_ Turnover in the activity

# Statement of the Tenderer's experience and turnover in the activity.

a) Minimum requirements

# Justify of having been the contractor of minimum three contracts for equivalent projects in France of a minimum of one million euros per contract within the last five years.

b) Evidence to be provided

# Provide a list of references of similar projects mentioning for each: purpose, reference, date, country of destination, volumes, financial amount, execution lead-time, client name, manpower, part subcontracted, part in-house and scope supplies/service/works as well as the distribution (in %) of each activity.

# Provide a list of suppliers you usually work with (partnership) and subcontract service/work or buy Equipments

_2_ Coordination - Works management - Industrial means

# Statement of the Tenderer's ability to plan and manage the works.

# Statement of the tools, plant or technical equipment available to the Tenderer for carrying out similar Contracts.

a) Minimum requirements.

# The Tenderer must be able to perform management and coordination of engineering, procurement, subcontracting management, construction and installation activities

# The Tenderer must be able to use the french language to communicate technically and commercially

# Organization chart showing main functional responsibilities

# Engineering review process the Tenderer applies to control and ensure that engineering is performed as per good practices and industry codes and standards.

# Key employees skills and experiences mobilized by the Tenderer

# Manufacturing Quality Plan, including the Inspection and test plan

# Indication whether the Tenderer intend to subcontract part of the supplies, and if subcontracting will be applied, the description of the subcontracted parts

_3_ QHSE

_3.1_ Quality: Statement of the Tenderer's quality management system according to ISO 9001 or equivalent, including definition of production place, process flow map and management target, policy and vision covering the scope.

a) Minimum requirements: ISO 9001 certificate or equivalent

b) Documents to be provided:

# ISO 9001 valid certificate or evidence of the equivalence named

# Statements of his major sub-contractors' quality management systems according to ISO 9001 or equivalent.

_3.2_ Environment: Statement of the Tenderer's environmental management system according to ISO 14001 or equivalent, including definition of production place, process flow map and management target, policy and vision covering the scope.

a) Minimum requirements: ISO 14001 certificate or equivalent or process engaged

# ISO 14001 valid certificate or evidence of the equivalence named.

# Statements of his major sub-contractors' environmental management systems according to ISO 14001 or equivalent.

_4_ Technical

Minimum Requirements: The transformers shall respect the following characteristics:

# Outdoor threephase oil immersed HV/MV transformer

# Quantity: 2

# Frequency: 50Hz

# Winding connections: YNdn11

# Cooling class: ONAN / ONAF

# Rated Power: from 60MVA to 120MVA

# Rated Primary Voltage: 235kV *

# Rated Secondary Voltage: 31 kV *

* may change slightly

Exécution du marché
Dépôts et garanties exigés:

Conditions relating to the contract will be stated in the tender documents. However, the Contracting Entity reserves the right to demand a Performance Security (for proper performance of all obligations under the Contract) comprising :

_1_ A on-demand Advance Payment guarantee provided by a bank or an insurance company approved by the Contracting Entity, and

_2_ A on-demand Performance Bond. The Performance Bond shall be provided by a bank or an insurance company approved by the Contracting Entity, and

_3a_ a Parent Company Guarantee

However, if the company is not a subsidiary or if the company's ultimate parent company cannot comply with the requirements stated in _3a_ above, the company shall procure:

_3b_ a Performance Guarantee provided by a bank or an insurance company value.

Such Performance Guarantee shall be provided by an entity approved by the Contracting Authority.

_Payment as follow: up to 45 days, end of the month after receipt of valid invoice (to be confirmed in the invitation to tender documents).

If necessary, the group economic operators must be jointly liable.

In case the tenderer is a consortium / joint venture, a copy of the Memorandum Of Understanding or the Contract of consortium/ joint venture has to be provided. The form of the consortium/joint venture shall be joint and several (solidaire) or joint (conjoint) with a several leader (mandataire solidaire).

A company may not bid individually in its own name and in the name of one or several groups of operators.

A company may not bid in several groups of economic operators.
