2. The following information completes or modifies the information filled in the other forms of this notice:

2.1 - This contract notice is to advertize for a tender which is common to some GDF SUEZ subsidiaries, The present tender is announced and organized by GDF SUEZ SA as contracting agent in the name and on behalf of for the following contracting entities/procurers as follows:

a) GDF SUEZ Romania Lot No 1

b) ÉGÁZ-DÉGÁZ FÖLDGÁZELOSZTÓ Zrt Lots No 2, 3, 4 , 5

c) Energia de Mexico Lot No 6,7,8

d) GDF SUEZ IZGAZ Turkey Lot No 9

2.2. The award criteria written in Section IV: lowest price - applies for all contracting entities and for each lot. For calculating the score for the award criteria, DDP price (without VAT) shall be used.

2.3 The contracting entities reserve the right to require the bidders / candidates to present any other documents in case the ones presented within the candidature/bid are considered not relevant and / or sufficient. Anytime during the procurement procedure, the evaluation committee may require any candidate / bidder additional information/documents, clarifications and / or confirmation of the documents presented to demonstrate the fulfillment of the conditions for participation and/or the technical specification, clarifications on unusually low price, corrections of errors and so on. Requests for documents or for clarification and the response shall be in writing, by fax or e-mail, with acknowledgement of receipt. If within the deadline mentioned in the request, candidates/bidders do not present the required information / documents or if they are not conclusive, the candidature/bid may be deemed inadmissible. In case of discrepancies between total and detailed amounts, or between the amount in words and the amount in figures, the latter prevail. If the candidate/bidder does not accept the corrections of errors, the candidature/bid may be considered inadmissible. By submission of its candidature/bid, the candidate/bidder grants the contracting entity the right to request information and documents from any entity, corporate, banks, partners, customers and / or competent authorities for the purposes of proving the conditions of participation and information in the bid.

2.4 The candidate/bidder shall bear all costs associated with the preparation and submission of candidature/bid tender and the Organizer will not be responsible or liable in any circumstances for the related costs.

2.5 Candidatures shall be sent in writing, in original, by post/courier to the following address: 4-6 Marasesti Blvd, district 4, Bucharest, Romania. The candidature will contain: only one set of the documents proving the fulfilment of the common criteria (conditions for participation applicable to all lots) in one envelope (marked Common Criteria), plus the documents proving the fulfilment of the individual conditions for participation applicable for the lots where the economic operator wishes to participate in separate envelopes per lot (each one marked with the applicable lot). All the above mentioned envelopes shall be comprised in a larger envelope/box, together with the sample of gas meter. The candidature will be accompanied by the proof that its signatory is the legal representative duly authorized to sign it and to bind the economic operator (a power of attorney if documents are signed by other person). All documents of the candidature shall be in English language (in case of documents issued by authorities in other languages, they will be accompanied by authorized translations into English). All pages of the candidature will be numbered, signed and stamped.

Necessary details for preparing and submitting the bid will be further communicated togheter with the invitation sent to selected candidates.

2.6 The contracting entities may reject:

The candidatures/bids as inacceptable if: submitted after the date and hour set for their submission or to an address other than those set out in the notice / invitation to tender; are not accompanied by bid bond in the amount, form, content and having the requested validity period; are submitted by a candidate who does not meet one or more of the conditions for participation set out in the contract notice or does not submit relevant documents in this regard; constitute an alternative to the provisions of the tender documentation; do not ensure compliance with mandatory regulations specific working conditions and labor protection; the price (without VAT) included in the financial proposal (for the relevant lot) exceeds the estimated value communicated by contract notice / subsequent invitation to present the bid; is in any other situation provided in the tender documentation that could lead to disqualification / rejection of bid / candidature

As un-complying, the bids which: do not adequately meet the requirements of the tender documentation, especially those of the technical specification; contain provisions contradictory to the mandatory contract terms and conditions; contain in the financial proposal prices that are not the result of free competition and can not be justified (the contracting agent/purchasers are entitled to request explanations regarding unusually low price); the bid presents a shorter validity period than requested; in any other case of non-compliance with the tender documentation. The bid is deemed to present an unusually low price when the price per one gas meter without VAT, is less than 70% of the estimated value calculated for it in the case of each lot. Requests for documents or for clarification regarding unusually low price and the response shall be in writing, by fax. or e-mail, with acknowledgement of receipt .If within the deadline mentioned in the request, bidders do not present the required information / documents or if they are not considered conclusive, the bid may be deemed inacceptable.

4. Steps of the procedure:

(a) Publication of the Contract Notice. Interested economic operators may send an email to the following contact data: ovidiu.hincu@gdfsuez.ro, mihai.popescu@gdfsuez.ro, in order to inform the organizer about their interest in participating to the procedure, to indicate their contact data for this purpose and to request the forms to be filled to prove fulfilment of some conditions for participation.

(b) Interested economic operators send their candidature for the lot(s) where they wish to participate, until the set date and hour for sending candidatures. The candidature consists of all documents and information proving that the candidate fulfils each and all participation conditions mentioned in this Contract Notice.

(c) The contracting agent / purchasers will evaluate the candidatures and determine the acceptable (admissible) ones.

(d) The candidates whose candidatures have been considered acceptable (admissible) related to the participation conditions, may be invited to prepare and submit their bid. To this purpose, the contracting agent / purchasers will sent them an invitation which may be accompanied by further details necessary for preparing and submitting the bid.

(e) Selected candidates will send their bid for the lots where they presented candidature and have been selected, until the set date and hour for sending the bids and according to the details provided in the invitation. The bid consists of the financial proposal and the technical proposal. The bid has to be accompanied by the participation guarantee (for the lots where it is requested), in original, according to the form provided/agreed by the contracting authorities.

(f) The contracting agent / purchasers will evaluate the bids and determine the complying (admissible) ones.

(g) The bidders whose bids have been considered complying (admissible) may be invited to negotiations. The negotiations may have one or more rounds. Details regarding the negotiations will be provided in the invitation.

(h) Following the negotiations the contracting agent / purchasers may select one or more bidders per each lot which may be invited to sign the framework agreement and the subsequent contracts.

The contracting agent may choose at any time one of the following options: i. to cancel this procurement procedure; ii. To terminate the proceedings for one or more lots where there is not a sufficient number of submitted candidatures/bids and continue the procurement procedure for the other lots. By submitting their candidature/bid in this procedure, candidates/bidders acknowledge the right of the organizer to stop the proceedings at any time, and waive any claims of any nature, including compensation for potential damage suffered by candidates/bidders.
