The minimum conditions featuring below must be mentioned in the competitive tender notice.

The following cannot tender:

1) Those candidates who have, within the last five years, been handed down a final sentence for one of the offences provided for in Articles 222-38, 222-40, 226-13, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6, 413-9 to 413-12, 421-1 to 421-2-3, subparagraph two of Article 421-5, Article 433-1, subparagraph two of Article 433-2, subparagraph eight of Article 434-9, subparagraph two of Article 434-9-1, Articles 435-3, 435-4, 435-9, 435-10, 441-1 to 441-7, 441-9, 445-1 and 450-1 of the French Penal Code, Article 1741 of the French General Tax Code and Articles L. 2339-2 to L. 2339-4, L. 2339-11-1 to L. 2339-11-3 of the French Defense Code and L. 317-8 of the French Interior Security Code.

2) Those candidates who have, within the last five years, been handed down a sentence listed on Report n° 2 of the Criminal Records Bureau for the offences referred to in Articles L. 8221-1, L. 8221-3, L. 8221-5, L. 8231-1, L. 8241-1, L. 8251-1 and L 8251-2 of the French Labour Code.

3) Those candidates subject to the compulsory liquidation proceedings provided for in Article L. 640-1 of the French Commercial Code, those individuals whose personal bankruptcy has been pronounced under Articles L. 653-1 to L. 653-8 of the same Code as well as those persons subject to equivalent proceedings under a foreign law jurisdiction.

Candidates admitted to the compulsory reorganisation proceedings laid down by Article L. 631-1 of the French Commercial Code or to equivalent proceedings under a foreign law jurisdiction must provide evidence that they have been authorised to continue their activities throughout the foreseeable term of execution of the contract.

4) Those candidates who, on 31 December of the year prior to that during which the tender is launched, had not fulfilled their obligations in terms of tax and social security declarations or had not paid the tax and contributions payable on that date. However, the following shall be regarded as eligible candidates: those candidates who, on 31 December of the year prior to that during which the tender is launched, had not paid the various amounts due on that date or provided any guarantees, but who had, before the date of the launch of the tender and without any enforcement measures having been taken by the accountant or the agency responsible for collection, either paid the said amounts or provided guarantees deemed sufficient by the accountant or the agency responsible for collection. Individuals who are legal or de facto directors of a legal entity that does not satisfy the conditions provided for in this subparagraph may not personally tender for a contract.

In order to provide evidence that it is not in one of the situations cited in points 1) to 4) above, the candidate must furnish a sworn statement, dated and signed.

These conditions are applicable to the candidates and to each of the members of a group wishing to tender as a single candidate.

Situation économique et financière:

A1. Ownership and corporate form. If the company is a subsidiary, the name and address of the ultimate parent company must be stated as well as the name and address of a French representative, if any.

A2. Annual accounts (incl. the accountant's opinion) for the previous 3 years (if available) and the quarterly reports/interim accounts for the current financial year (if applicable). If 50 % or more of the company is owned by another company or if that other company controls 50 % or more of the votes or can appoint more than half of the members of the board of management or of the supervisory board of the company the same information is requested from that controlling company.

General requirements:

If the company relies on the economic and financial capacity of another entity/entities, the company shall prove to the satisfaction of the Contracting Authority that the necessary resources will be available to it by way of an undertaking from these entities.

If a consortium submits a request for tendering, the information set out in A1 and A2 must be submitted for each member of the consortium.

A3. If the company, parent company, bank or insurance company providing performance guarantees is rated by S&P, Moody's or equivalent, please furnish the associated statement and the rating.

A4-The company must justify a turnover of more than 20 000 000 EUR per year for 2010 and 1011 (and more than 30 000 000 EUR for group economics operators; the mandatory must justify a turnover of more than 15 000 000 EUR).

Capacité technique et professionnelle:

B1. Turnover in the activity.

Statement of the Tenderer’s experience and turnover in the activity.

a) Minimum requirements.

Justify of having been the contractor of minimum 3 contracts of a minimum of 5 000 000 EUR per contract within the last 5 years. These contracts shall be related either to supply and installation of offshore met masts or to offshore marine works or heavy civil works involving marine assets in the offshore wind industry or the oil and gas industry.

b) Evidence to be provided.

Provide at least the following information for each reference named: purpose, reference, date, volumes, financial amount, execution lead-time, client name, manpower, part subcontracted, part in-house and scope supplies/service/works as well as the distribution (in %) of each activity, mention of water depth.

Provide list of suppliers you usualy work with (partnership) and subcontract service/work or buy equipements.

B2. Coordination-Works management - industrial means.

— Statement of the Tenderer’s ability to plan and manage the works,

— Statement of the tools, marine assets, plant or technical equipment available to the Tenderer for carrying out similar Contracts.

— Relating to the offshore met mast installation, the Tenderer must be able to perform management and coordination of engineering, procurement, subcontracting management, construction and installation activities,

— provide project execution plan of the contracts named in B1 tender's answer.

b) Evidence to be provided

Design and engineering:

For the references named in B1 or others:

— describe references in foundation, transition piece and met mast design/engineering, including instrumentation,

— describe the engineering review process the Tenderer applies to control and ensure that engineering is performed as per good practices and industry codes and standards,

— provide key employees skills and experiences mobilized by the Tenderer.

Supply and manufacturing:

— provide a Manufacturing Quality Plan, including the Inspection and Test Plan.

Offshore installation:

— describe the way the Tenderer will be able to provide a vessel and the associated crew which are capable to achieve 24h continuous installation without port call during at least two weeks.

For the references named in B1 (or others):

— provide a detailed offshore installation procedure, manual or method statement performed by the Tenderer.

Operation and maintenance:

— provide information related to met masts operation and maintenance already performed by the Tenderer on a previous project.

Others.

— provide a sample of final data book produced by the Tenderer on a previous project,

— provide details on the management of certification of at least one offshore met mast,

— provide a list of codes and standards applied by the Tenderer in these activities.

B3. QHSE.

B3.1. Quality.

Statement of the Tenderer's quality management system according to ISO 9001 or equivalent, process flow map and management target, policy and vision covering the scope.

ISO 9001 certificate or equivalent.

b) Documents to be provided.

Provide ISO 9001 valid certificate or evidence of the equivalence named, Typical Quality Plan and Inspection Test Plan.

The Tenderer shall also submit statements of his major sub-contractors' quality management systems according to ISO 9001 or equivalent.

— B3.2. Environmental.

Statement of the Tenderer's environmental management system according to ISO 14001 or equivalent, process flow map and management target, policy and vision covering the scope.

ISO 14001 certificate or equivalent or process engaged.

Provide ISO 14001 valid certificate or evidence of the equivalence named.

The Tenderer shall also submit statements of his major sub-contractors' environmental management systems according to ISO 14001 or equivalent.

B3.3. health and safety.

Statement of the Tenderer’s health and safety management system according to OHSAS 18001 or equivalent, including organization and principles for implementation of health and safety management.

OHSAS 18001 certificate or equivalent.

— Provide OHSAS 18001 valid certificate or evidence of the equivalence named, HSE policy & Objectives, HSE statistics (Lost Time Incidents, lost Time due to H&S and Lost Time relative to number of emplyees and relative to working hours for the past 3 years),

— the Tenderer shall also submit statements of his major sub-contractors' health and safety management system according to OHSAS 18001 or equivalent, including organization and principles for implementation of health and safety management,

— provide a risk and HAZID review reports on a previous project performed by the Tenderer.

Exécution du marché
Dépôts et garanties exigés:

Conditions relating to the contract(s) will be stated in the tender documents, however, The Contracting Entity reserves the right to demand a Performance Security (for proper performance of all obligations under the Contract) comprising:

(a) An on-demand Performance Bond:

The Performance Bond shall be provided by a bank or an insurance company approved by the Contracting Entity,

(b1) a Parent Company Guarantee.

However, if the company is not a subsidiary or if the company’s ultimate parent company cannot comply with the requirements stated in “(b1)” above, the company shall procure:

(b2) a Performance Guarantee provided by a bank or an insurance company value.

Such Performance Guarantee shall be provided by an entity approved by the Contracting Authority.

The company and the Performance Security provider(s) will be requested to deliver updated (annually, interim/ /quarterly/monthly (whatever is available)) accounts during completion of the works including during the time of remediation of defects and liability periodif any (including any extension).

Financing with shareholders equity (to be confirmed in the invitation to tender documents).

Payment as follow: up to 60 days, starting from the release date of valid invoice issuance (to be confirmed in the invitation to tender documents).

Forme juridique que devra revêtir le groupement d'opérateurs économiques attributaire du marché:

The group economics operators must be jointly liable.

In case the Tenderer is a consortium / joint venture, a copy of the Memorandum Of Understanding or the Contract of consortium / joint venture has to be provided. The form of the consortium/joint venture shall be jointand several (solidaire) or joint (conjoint) with a several leader (mandataire solidaire).
