For the following general electric technologies aeroderivative (LM6000, LM2500), the scope of work in option includes:

— provision of new spare parts,

— repair parts inspecialized workshops,

— realization of integrated services - technical assistance on site and available workforce - for scheduled and unscheduled maintenance inspections, with and without obligation of performance.

Habilitation à exercer l'activité professionnelle:

To be selected for the invitation to tender, the candidates shall answer and submit a pre-qualification questionnaire (PQQ), which is availableon the Portail Achats website (www.portial-achats.edf.com) in request for information(rfi_53570).

This questionnaire will be analysed by EDF to assess the capabilities of potential bidders and select them forthe ITT.

Cannot tender:

1) candidates who were the object, in the last five years, of a final judgement for one of the infringements envisaged by articles 222-38, 222-40, 313-1 to 313-3, 314-1 to 314-3, 324-1 to 324-6, 421-2-1, 421-5 second subparagraph, 433-1, 433-2 second subparagraph, 434-9 eighth subparagraph, 434-9-1 second subparagraph, 435-3, 435-4, 435-9, 435-10, 441-1 to 441-7, 441-8 first and second subparagraphs, 441-9, 445-1 and 450-1 of the French Penal Code, and by 1741 of the French General Tax Code.

2) candidates who were the object, in the last five years, of a judgement registered in the bulletin N°2 of the record for punishments for the infringements mentioned in articles L. 8221-1, L. 8221-3, L. 8221-5, L. 8231-1, L. 8241-1 and L. 8251-1 of the French working law.

3) candidates who are winding up according to the terms of article L640-1 of the Commercial Law, corporations legal entities whose personnel bankruptcy was marked within the meaning of articles L. 653-1 to L. 653-8 of the Commercial Law, as well as the people being the object of an equivalent procedure governed by a foreign law.

Candidates admitted with the file for bankruptcy within the meaning of article L631-1 of the Commercial Law, or with an equivalent procedure governed by a foreign law, must justify that they were entitled to continue their activity during the.

Foreseeable duration of the contract and must provide, to support their candidature, the copy of the judgements pronounced for this purpose.

4) Candidates who, on 31st December of the year preceding the one of the launching of the consultation, did not sign the declarations about the tax and social matter, or have not discharged the payable taxes and contributions on this date.

However, are considered as in a regular situation candidates who, on the 31st of December of the year preceding the one of the launching of the consultation, had not discharged the contributions payable at this date nor generated guaranties, but who, before the launching of the consultation, and without any execution action from the entity responsible for recovery, have either discharged the above mentioned contributions or generated warranties which are estimated sufficient by the entity responsible for recovery.

The physical persons which are directing by right or de facto an moral entity not complying with the conditions of this paragraph cannot be personally candidates for this market.

In order to justify he is not in one of the positions listed above, the candidate must provide a dated and signed sworn statement.

These conditions apply to candidates and to each member of a JV, consortium or any other form of arrangement.

Situation économique et financière:

The tenderer shall provide the last three financial results and income statements (for French companies, thetax bundle including at least the financial result pages 1 and 2, the income statement pages 3 and 4 and theappendices page 5, 8 and 11). The tenderer shall have a turnover amounting at least 100 000 000 EUR for each of the last 3 years and must be able to provide a parent company guarantee if necessary.

The capabilities and references will be cumulated for the analysis. Each operator will have to justify its legal and economical status as specified hereunder.

Capacité technique et professionnelle:

Bidders must meet all the following conditions:

1. Have an organization that complies ISO 9001 (or equivalent internationaly recognized management system);

2. be a manufacturer of essential spare parts;

3. have experience and capacity in the supply of spare parts and maintenance services for combustion turbines among the heavy-duty models mentioned in II.2 or equivalent, for a period corresponding to completed maintenance for a given site;

4. have experience and capacity in the supply of spare parts and maintenance services for combustion turbines among the aeroderivative models mentioned in II.2.1 or equivalent, for a period corresponding to completed maintenance for a given site;

5. be able to mobilize the personnel required for maintenance planned and fortuitous in the four geographical areas indicated II.1.2).

The procuring entity reserves the right to ask supplementary questions on the ability of bidders to provide the services specified herein including their technical references.

Suppliers / contractors / service providers interested should advise the entity of their interest in the market or markets, or the contracts will be awarded without further publication of a notice of tender.

The capabilities and references will be cumulated for the analysis. Each operator will have to justify its legal and economical status as specified hereunder.

Joint bid of different economic operators can be considered only in case of incorporated joint venture. Consortium can not be considered as incorporated joint venture.

In case of incorporated joint venture, please state purpose, partners and roles (percentage of activities of eachpartner, responsibilities, management organisation ...).

In case of joint venture, all the members shall have to be jointly and severally bound and liable toward EDF orrelevant affiliated companies.

The contract will be governed and ruled by the French Law. French technical specifications and terms and conditions will be contractual. English translations will be available for information only.

Supervisory staff acting on supply and maintenance in France must understand, speak, read and write French.

EDF and its affiliates, owners of the turbines, will progressively implement the framework agreement (duration: 3 years) through contracts (duration: 6 years + option for 3 more years) signed between the supplier locally and EDF or a subsidiary, for the maintenance of one or more of its combustion turbines. The framework agreement has no financial commitment on the part of EDF and its subsidiaries.
